1Accepting These Terms
This document, our rules, policies and the other documents referenced herein make up our Terms of Use (“Terms”). These Terms are a legally binding contract between you and MyChurch.cloud. This contract sets out your rights and responsibilities when you use our app, website, software or related services. Please read them carefully.
By accessing or using MyChurch.cloud, you acknowledge that you have read, understood and agree to be bound by these Terms. If you do not agree, you may not access or use the platform.
2Changes
MyChurch.cloud may amend these Terms at any time by posting a revised version on our app or website. The revised version will become effective when it is posted unless otherwise stated.
Your continued use of MyChurch.cloud after revised Terms are posted constitutes your acceptance of those changes. We encourage you to review this page periodically.
3Access and Use Restrictions
You shall not, directly or indirectly:
- Copy or reproduce the SaaS Products except as permitted under this Agreement.
- Exceed subscribed quantities, authorized users, storage, licensing limits or other entitlement measures.
- Remove or destroy copyright, trademark or other proprietary markings contained in the SaaS Products or Intellectual Property.
- Assign, sell, resell, sublicense, rent, lease, time-share, distribute or otherwise transfer rights granted under this Agreement to a third party except as expressly permitted.
- Modify, reverse engineer, decompile or disassemble any part of the SaaS Products.
- Attempt to derive source code, underlying ideas or algorithms, recreate the SaaS Products, or use them for competitive or benchmarking purposes except where applicable law expressly prohibits such restrictions.
- Create, translate or prepare derivative works based on the SaaS Products or Intellectual Property.
- Interfere with or disrupt the integrity, security or performance of the SaaS Products.
- Attempt unauthorized access to the SaaS Products, related systems or networks, or perform unauthorized penetration testing.
- Use the SaaS Products in a manner that infringes intellectual property, publicity or privacy rights, or to store or transmit defamatory, trade-libelous, unlawful or harmful data.
Violation of these restrictions may result in immediate suspension or termination of your account and may expose you to additional legal remedies.
4Account
The user or organization that creates the MyChurch.cloud account is the “Account Owner.” The Account Owner has access to and control over the account and is responsible for all activity that occurs through it.
To maintain control over the account and prevent unauthorized access, the Account Owner should safeguard login credentials and should not disclose passwords or payment-method details to unauthorized persons.
You are responsible for keeping account information accurate and current. MyChurch.cloud may terminate, suspend or place an account on hold to protect you, MyChurch.cloud or our partners from identity theft, fraud, abuse or other suspicious activity.
5Confidentiality
MyChurch.cloud agrees to use commercially reasonable safeguards to keep confidential information obtained about users confidential, subject to applicable law and the operational requirements of providing the services.
MyChurch.cloud respects your right to privacy. We maintain security measures for personal data and manage personal information in accordance with applicable privacy regulations and our Privacy Policy.
6Intellectual Property Rights
All software, designs, graphics, logos, trademarks, service marks, databases, source code, documentation, text and other content available through MyChurch.cloud are owned by MyChurch.cloud or its licensors and are protected by copyright, trademark and other applicable laws.
Unauthorized use may violate copyright, trademark and other laws. You must retain all copyright, trademark, service mark and proprietary notices contained in the content on any copy you are permitted to make.
You may not reproduce, modify, display, sell, distribute or otherwise use the content for a public or commercial purpose without prior written authorization.
7Acceptable Use of the App
7.1 Lawful and Intended Use
The app may be used only for lawful purposes and within the stated context of our intended and acceptable use. MyChurch.cloud retains the sole and exclusive right to interpret the meaning and definition of acceptable use, subject to applicable law.
7.2 Your Responsibilities
As a condition of using the app and services, you represent, warrant and agree that you will not use, plan, encourage or help others use the app for any purpose or in any manner prohibited by these Terms or applicable law.
It is your responsibility to ensure that your use of MyChurch.cloud complies with these Terms, all laws that apply to your organization, and all privacy, communications and data-protection obligations applicable to information you upload or process.
8Payment and Taxes
8.1 Subscription Fees
You agree to pay the subscription fees associated with the plan you select or the pricing otherwise agreed to in writing with MyChurch.cloud. Fees are generally payable in advance and are non-refundable except where required by law or expressly stated in a separate written agreement.
Any amount not paid when due may be subject to a late charge of one and one-half percent (1.5%) per month on the unpaid balance or the maximum rate allowed by law, whichever is less.
8.2 Taxes
Fees and charges are exclusive of applicable sales, use, value-added or other indirect taxes imposed now or in the future on the SaaS Products. Unless otherwise agreed, you are responsible for complying with reporting and payment obligations for such taxes, except for taxes based on MyChurch.cloud’s net income.
Pricing may vary by plan, enabled modules, usage, payment processing and custom services. Your order form or subscription agreement controls when it conflicts with general pricing language on this page.
9Indemnification
You agree that you are responsible for your use of the app and agree to defend, indemnify and hold harmless MyChurch.cloud, its officers, directors, employees, contractors, affiliates and partners from and against claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees and costs, arising out of or connected with:
- Your access to, use of or alleged use of the app.
- Your violation of any portion of these Terms or any representation, warranty or agreement referenced herein.
- Your violation of applicable law or regulation.
- Your violation of a third-party right, including intellectual property, publicity, confidentiality, property or privacy rights.
- Content or data submitted, uploaded, transmitted or otherwise made available through your account.
- Any dispute or issue between you and a third party.
10Limitations
To the fullest extent permitted by law, MyChurch.cloud will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including damages for lost profits, lost revenue, lost data, loss of goodwill, business interruption or other intangible losses arising out of or relating to your access to, use of or inability to access or use the app, materials or content.
This limitation applies whether a claim is based on warranty, contract, tort, negligence, statute or another legal theory, and whether or not MyChurch.cloud has been informed of the possibility of such damage.
To the fullest extent permitted by law, MyChurch.cloud’s total aggregate liability arising out of or relating to the services shall not exceed the amount you paid to MyChurch.cloud during the twelve months immediately preceding the event giving rise to the claim.
11Prohibited Uses
You may not use, encourage, promote, facilitate, instruct or induce others to use MyChurch.cloud or its services:
- For activities that violate any law, statute, ordinance or regulation.
- For illegal, fraudulent, deceptive or harmful purposes.
- To transmit, store, display, distribute or make available illegal, fraudulent, defamatory or harmful content.
- To distribute malware, malicious code, ransomware, phishing content or other harmful technologies.
- To send unsolicited bulk email or communications in violation of anti-spam, privacy or consumer-protection laws.
- To harass, threaten, exploit or abuse any person.
- To infringe intellectual property, publicity, confidentiality or privacy rights.
- To circumvent security controls, abuse platform resources or interfere with other customers.
Accounts engaging in prohibited activity may be suspended or terminated without prior notice where MyChurch.cloud determines immediate action is reasonably necessary to protect users, the platform or third parties.
12Entire Agreement
These Terms, together with our Privacy Policy, order forms, subscription agreements and any additional policies or agreements incorporated by reference, constitute the entire agreement and understanding between the parties concerning the subject matter addressed herein.
These Terms supersede all prior and contemporaneous agreements, understandings, representations, inducements and conditions, whether express or implied, oral or written, relating to that subject matter.
